Terms and Conditions

Welcome to MEDIA/STUDIOS. These Terms govern the use of the subscription and the purchase of the Services described on our website. By using MEDIA/STUDIOS you accept the conditions described below.

MEDIA/STUDIOS is an audiovisual and interactive development service assisted by artificial intelligence and validated by human professionals. Every Output is first generated by an artificial intelligence system and subsequently read, corrected and validated by an Expert before reaching you.

We do not guarantee, under any circumstances, that the Output will achieve any particular commercial, artistic, financing or option outcome. The evaluation provided by PROOF is technical-commercial in nature and is never a binding, subjective artistic judgment.

The Subscription includes a defined number of Active Projects per year — see Art. 5 for the detail of the Solo Plan and Studio Plan — usable on PROOF, ZERODRAFT and SPOTLIGHT at no additional cost per Service. SPOTLIGHT and ORIGINALS are reserved for Subscribers, without exception.

3. Your Account

The Solo Plan Account is personal and non-transferable. The Studio Plan Account allows access by multiple users (Owner and Members) to the same pool of Active Projects and is subject to additional conditions, available in a document dedicated to the Studio Plan. You are responsible for the accuracy of the information provided during registration and for the confidentiality of your login credentials.

4. Prices and payment

Prices are expressed in EUR as the reference price list; conversions into USD and BRL are shown at the time of purchase. All prices are exclusive of taxes, applied at checkout according to your country.

We accept PayPal, bank transfer (with a 4% discount) and Pix (reserved for Subscribers with a billing address in Brazil). The Order is confirmed after payment verification.

The Subscription price is fixed and covers all Active Projects described in Art. 5, with no separate cost for individual Services used within that number.

5. Subscription duration and Active Projects

The Subscription has an annual duration from the activation date and does not automatically renew. Upon expiry, access to new Active Projects ceases; you can reactivate a new Subscription at any time.

Solo Plan: up to 12 Active Projects per year — 1 "ZERODRAFT — Complete Development Pack (feature)" project plus 11 Slots. You can activate at most one Active Project per month.

Studio Plan: up to 12 Active Projects per year — 2 "ZERODRAFT — Complete Development Pack (feature)" projects plus 10 Slots. Unlike the Solo Plan, Studio Plan Active Projects can also be activated all together, with no monthly constraint.

Active Projects not used by the Subscription's expiry lapse without refund, extension or residual credit. An Active Project is an access right, not an accumulable monetary credit or one transferable to a subsequent Subscription.

6. Right of withdrawal and refunds

6.1 Individual Service Orders (outside the Subscription)

If you purchase a Service individually, outside your Subscription, you can cancel the Order with a full refund at any time before the Material is submitted through the dedicated form: up to that point no Expert is involved and no cost has been incurred.

At payment we ask for your explicit consent: "I request immediate execution of the Service as soon as I submit the Material, and I understand that from that moment I will lose my right of withdrawal." Once the Material has been submitted, the Order becomes irrevocable: no refund, whether total or partial, is available regardless of the stage of progress of the work.

6.2 Subscription (Solo Plan and Studio Plan)

If you reside in the European Union: you have the right to withdraw within 14 calendar days of activation, without needing to provide a reason, provided you have not yet activated any Active Project. If you have already activated even a single Active Project, the right of withdrawal on this Subscription lapses.

If you reside outside the European Union (including, for example, Brazil and the Latin American countries where we operate): you are entitled to a full refund of the Subscription price if you notify withdrawal within 7 calendar days of activation, provided you have not yet activated any Active Project.

Outside these terms, or if you have already activated an Active Project, the Subscription is non-refundable, unless we communicate otherwise in writing.

7. Delivery times

The delivery times indicated for each Service are operational targets in business days and do not constitute a legally binding deadline. We are not responsible for delays due to force majeure or exceptional demand peaks, and we will promptly communicate any significant deviations.

8. Intellectual property

Ownership of all rights to the Material you upload and the Output you receive remains yours, unless otherwise agreed in writing. You grant us a limited, non-exclusive license to process the Material solely for the execution of the requested Service.

Sharing a project with the Scout network through SPOTLIGHT requires your distinct and specific consent, collected separately, because it involves disclosing the Material to third parties outside MEDIA/STUDIOS.

If your Material includes data or elements relating to real persons other than yourself (for example, interviews for a documentary), you represent that you have the right to share them with us for the purpose of executing the Service.

9. Confidentiality

We treat your Material as confidential and do not disclose it to third parties outside the assigned Expert network and, where applicable, the Scout network in accordance with your consent under Art. 8. Our Experts are bound by a contractual confidentiality obligation.

10. Limitation of liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from these Terms is limited to the amount actually paid for the Service or Subscription that is the subject of the claim in the preceding 12 months.

We are not responsible for editorial, commercial or creative decisions you make based on the Output received, nor for the outcome of negotiations with third parties initiated as a result of SPOTLIGHT.

11. Suspension and termination of the Account

We may suspend or terminate your Account in the event of a breach of these Terms, fraudulent use of payment methods, or submission of Material that infringes third-party rights or applicable law, informing you of the reason. Termination for cause attributable to you does not entitle you to any refund of the remaining part of the Subscription.

12. Governing law and jurisdiction

These Terms are governed by the law of the State of New Mexico, United States of America. Disputes are subject to international arbitration (ICC or ICDR/AAA International), in English.

If you reside in a country whose law provides for mandatory consumer protections, this clause does not exclude them, where applicable.

13. Changes to these Terms

We may amend these Terms with at least 30 days' notice, communicated via email and/or through the private area. Changes do not apply retroactively to Orders already confirmed. If you continue to use the Service after the changes take effect, you accept them; if you do not accept them, you may withdraw from the Subscription under Art. 6, without penalty for the remaining unused portion.
